Anthropic has taken its blockbuster IPO directly to Japanese investors. On Monday, November 2, the Claude maker filed a securities registration statement with Japan’s Kanto Local Finance Bureau to sell up to ¥552.9 billion ($3.5 billion) worth of shares in Japan as part of its U.S. public listing, Reuters reported from the filing. The move gives one of the world’s most IPO-starved markets a direct line into what could become the largest technology listing in history.
The Japanese leg is only one piece of Anthropic’s global offering, but its size signals how aggressively the company is courting international demand ahead of a Nasdaq debut under the ticker ANT. The filing landed one week after Anthropic’s October 26 S-1 submission to the U.S. Securities and Exchange Commission, which formally opened the countdown to the listing.
What the Filing Says
According to the registration statement, the new shares issued to Japanese investors will raise funds for working capital, operating expenses and capital expenditure, Reuters reported. The document sets the $3.5 billion figure as an estimated ceiling, not a commitment: the final amount will be set on the pricing date and could differ significantly, according to Japan’s Atarashii Keizai, which reviewed the filing.
Two details remain open. The number of shares and the offer price were still undecided at the time of filing, and although Anthropic has applied to list on Nasdaq, the listing had not yet been approved. The filing also did not state the overall size or valuation of the IPO. Reuters noted separately that some investors have discussed a valuation of about $1.5 trillion for the company, which would rank among the highest ever for a debut.

The Broker Lineup
Six securities firms will take orders from Japanese investors, with Mizuho Securities managing the Japanese portion of the sale, Bloomberg reported. The other firms handling investor orders are Goldman Sachs Japan, Mitsubishi UFJ Morgan Stanley Securities, Morgan Stanley MUFG Securities, Rakuten Securities and SBI Securities. Mizuho Financial Group and Mitsubishi UFJ Financial Group are also among the underwriters, putting two of Japan’s largest financial groups inside the syndicate distributing the shares.
The broad retail-friendly lineup is consistent with Anthropic’s wider distribution strategy. Bloomberg reported on October 27 that the company is considering setting aside 15% to 20% of the IPO’s shares for retail investors, with JPMorgan leading sales to individuals in the U.S. and Citigroup coordinating retail sales elsewhere.
Why Japan Matters
Japan is an unusual but logical hunting ground for IPO demand. First-time offerings in the country have dried up to a 14-year low, Bloomberg noted, making Anthropic’s sale a rare chance for local investors to buy into a mega-listing at home. Japan will be one of the few markets whose investors get direct access to the share sale; investors in Australia, Canada and parts of Europe will also be able to participate.
The scale dwarfs the last benchmark. At SpaceX’s record-breaking IPO in June, the world’s largest ever, investors in Japan secured shares worth $2.2 billion of the $75 billion raised, Reuters reported. Anthropic’s $3.5 billion ceiling is roughly 60% higher, according to Nikkei, which expects the company to raise around $100 billion in total.

An IPO Wave Builds
Anthropic’s filing lands in the middle of an extraordinary run of AI-related equity issuance. Meta is seeking to raise as much as $95 billion from selling common and preferred stock, and Alphabet is aiming for up to $85 billion in equity financing, Bloomberg reported. How investors absorb that wave of new shares will be one of the defining market stories of the year, and Anthropic’s Japan filing is the first concrete look at how the Claude maker’s own record attempt will be structured.
